These Terms of Service ("Terms") govern your access to and use of the Authoritative Agents website (authoritativeagents.com) and the services we provide, which include the creation and management of digital platforms for top-producing real estate agents (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms

By accessing and using our Services, you represent that you have read, understood, and agree to be bound by these Terms. You must be at least 18 years old to use our Services.

2. Description of Services

Authoritative Agents provides specialized digital platform solutions for elite real estate agents. Our Services include, but are not limited to, the design, development, hosting, and ongoing management of personalized digital platforms intended to consolidate your online authority and enhance referral capture. We are not a real estate brokerage, nor do we provide real estate agent services or advice.

3. User Accounts

  • Account Creation: To access certain features of our Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • Account Security: You are responsible for safeguarding your password and for any activities or actions under your account. You agree to notify Authoritative Agents immediately of any unauthorized use of your account.

4. Your Responsibilities

As a user of our Services, you agree to:

  • Provide truthful and accurate information necessary for the creation and maintenance of your digital platform.
  • Comply with all applicable local, state, national, and international laws and regulations.
  • Ensure that any content, images, or materials you provide for your platform comply with copyright, trademark, and other intellectual property laws, and do not infringe on the rights of any third party.
  • Not to use the Services for any unlawful or prohibited purpose.

5. Intellectual Property

  • Our Content: All content on the Authoritative Agents website, including text, graphics, logos, and software, is the property of Authoritative Agents or its licensors and is protected by intellectual property laws.
  • Your Platform Content: You retain ownership of all content, data, and information you provide for inclusion on your digital platform. You grant Authoritative Agents a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing the Services to you.
  • Platform Design/Code: The underlying code, design, and structure of the digital platforms we create are the intellectual property of Authoritative Agents unless otherwise specified in a separate agreement.

6. Payments and Billing

Specific terms regarding fees, payment schedules, and subscription details will be outlined in a separate service agreement or proposal provided to you. You agree to pay all fees for the Services you purchase in accordance with the agreed-upon terms.

7. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

8. Disclaimers and Limitation of Liability

  • No Guarantees: While we strive to provide high-quality services, we do not guarantee specific results regarding lead generation, conversion rates, or market performance from your digital platform.
  • "As Is" Basis: Our Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Limitation of Liability: To the fullest extent permitted by applicable law, Authoritative Agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; or (iii) unauthorized access, use or alteration of your transmissions or content.

9. Indemnification

You agree to defend, indemnify, and hold harmless Authoritative Agents and its affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable attorney's fees and costs, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any third-party right, including without limitation any intellectual property right, privacy right, or property right.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
